Partner Agreement

This Partner Agreement (“Agreement”) is between FranchiseInsights Pty Ltd (“FranchiseInsights”, “we”, “us”) and the partner (“you”, “your”, “Partner”) who accepts these terms when applying for a partner account.

By checking “I have read and agree to the FranchiseInsights Partner Agreement” during the partner application process, you enter into a binding agreement with FranchiseInsights on the terms set out below.

1. Licence Grant

FranchiseInsights grants you a non-exclusive, non-transferable licence to access and download reports for use in your professional advisory practice. This licence is limited to the products included in your selected plan (Standard or Premium) and remains in effect for the duration of your active subscription.

2. Permitted Use

Under this licence, you may:

• Read and analyse reports to inform your professional advice to clients
• Print reports for your own reference during client meetings
• Reference report data and findings in your advisory work
• Share specific data points verbally with clients

3. Prohibited Use

You must not:

• Distribute, forward, or share downloaded PDFs with clients, colleagues outside your firm, or any third party
• Reproduce report content in your own branded documents without written permission from FranchiseInsights
• Resell, sublicense, or repackage report content in any form
• Remove or obscure the watermark or “Licensed to” branding on any downloaded report
• Upload reports to shared drives, portals, intranets, or platforms accessible by clients or third parties
• Use report content to create competing products, services, or publications

4. Watermarking

All reports downloaded under this agreement are watermarked with your firm name. Any report found distributed outside the terms of this agreement will be traceable to your account. You acknowledge and accept this watermarking as a condition of access.

5. Client Access

If your client requires their own copy of any FranchiseInsights report, they must purchase it directly through your partner referral link or through franchiseinsights.com.au. Your licence does not extend to your clients. You earn a 25% referral commission on all client purchases made through your unique referral link.

6. Referral Commission

Partners earn a 25% commission on all purchases made by clients through the partner's unique referral link. Commissions are calculated on the net purchase amount (excluding GST) and paid monthly to your nominated account. Commission rates may be varied with 30 days' written notice.

7. Subscription and Payment

Partner subscriptions are billed monthly. You may cancel at any time. There is no refund for partial months. Your plan determines which products you have unlimited access to. FranchiseInsights reserves the right to adjust pricing with 30 days' notice.

8. Breach

Breach of these terms will result in immediate termination of your partner account, forfeiture of any unpaid referral commissions, and may result in legal action for damages. FranchiseInsights reserves the right to pursue all available remedies at law or in equity.

9. Term and Termination

This agreement continues for as long as your partner subscription is active. Upon cancellation, your licence to access and retain reports terminates. You must destroy all downloaded reports within 30 days of cancellation. Clauses relating to prohibited use, breach, and liability survive termination.

10. Limitation of Liability

FranchiseInsights reports are for informational and educational purposes only. They do not constitute legal, financial, investment, or business advice. FranchiseInsights accepts no liability for decisions made based on report content. Partners must exercise their own professional judgment when advising clients.

11. Governing Law

This agreement is governed by the laws of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of Victoria.
